I.  PURPOSE
BOARD GOVERNANCE POLICIES REQUIRE WRITTEN PROCEDURES
A    Chapter I Ends, Section C Values

B.  Chapter II Executive Limitations, Section A General Executive Constraint:
The president will not fail to
1.  Implement board policy through written procedures
2.  Provide opportunities for all staff input on proposed policy or procedure changes.  
C.  Chapter III Board-President Relationship, Section B Delegation to the President:
The board delegates to the president:  All board authority delegated to staff is delegated through the president, so that all authority and accountability of staff -- as far as the board is concerned -- is considered to be authority and accountability of the chief executive.
D.  Chapter IV Governing Process, Section D.1.a.4 Governing Style/Ethics, Code of Conduct:
The board “recognizes that it is the duty of the board to formulate policies with the president of the college, but that it is the duty of the college president to implement policy through written procedures.

II.  PROCEDURE
A.  The president shall follow the existing written procedures as much as is possible in all operations of the college.
B.  There may exist circumstances when:
1.  A written procedure does apply, but -- for reasons that are, as determined by the president, to be in the best interest of the college -- an exception to that procedure should be made; or
2.  There is not a written procedure that applies but a decision must be made so that the interests of the college are advanced.
C.  The president may direct that exceptions to existing college procedures be made or that decisions be made in the absence of a written procedure when doing so, by his/her determination, is in the best interests of the college.  Should the president do so,
1.  if authorizing an exception to a written procedure, s/he shall notify the Procedures Committee that s/he has done so, with the exception of any situation where confidentiality should be maintained (e.g., confidential HR decisions); or,
2.  if deciding a course of action for which there is no existing procedure, the president shall consider if a formal procedure for the future would advance the interests of the college.
Should the president direct an exception to existing procedure:
1.  The Procedures Committee will maintain a non-confidential list of all exceptions reported to them by the president; and,
2.  The President’s Office will maintain a confidential list of all exceptions that are confidential.  This confidential list will be available only to the president, those to whom s/he grants access, and to future presidents.
D.  No one, other than the president or acting-president, may grant exceptions to college procedures.
